Due diligence

The success of in-licensing is critically dependent on the quality of the due diligence. This requires an ability to ask the right questions of the right people. We frequently are able to obtain more forthright and in-depth information because we can operate anonymously and independently, we have the scientific and industry insight to ask the key questions, and because we have a network of contacts that allows us to obtain more objective and hard-to get information.

Integration planning and execution

In the interest of the ultimate success of the company’s objectives, due diligence includes an assessment of parameters related to identification of infrastructure, human resource requirements, and optimizing cultural integration once the in-licensing is executed. Herndon Company will then work with its clients to manage the integration.

Divestitures/Out-licensing of Technology and Compounds

Technology or compounds to be divested are typically a lower priority for internal resource allocation. Outsourcing to Herndon Company can provide focus and resources necessary to obtain the maximum value for the asset while permitting internal personnel to attend to higher strategic priorities.

Due diligence/Reconnaissance

Herndon Company uses its proven due diligence process to evaluate the viability of spinning off assets, ascertain potential acquirers, identify potential capital sources and develop the basis for recommending the optimal disposition of the technology or compound. We also offer the advantage of being able to work independently and anonymously if necessary.

Out-Licensing

We will work to recover and compile relevant internal information, develop marketing materials, contact potential licensees and develop an appropriate deal structure.

Structuring for divestments into a new company or joint venture

In the event that the maximum value for an asset can be obtained through divestiture into a start-up or joint venture, Herndon Company can assist or independently develop a viable business plan. We can also work to identify and recruit management, identify complimentary technologies or compounds, and assist in attracting capital.
